Terms and Conditions - Needle Service Agreement

1. Acceptance of Terms

By accessing or using Needle's services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use our service. These terms constitute a legally binding agreement between you and Needle.

2. Service Description

Needle provides a customer-discovery Search product that identifies opportunities and trending problems through analysis of public social media posts. Our service:

• Analyzes publicly available data only
• Provides search and filtering capabilities
• Offers sentiment analysis and intent detection
• Maintains search history for registered users
• Supports brand profiles, scheduled Auto Search runs, and alerts where enabled on your plan
• May be offered through third-party clients (for example the Needle app or connector inside ChatGPT); when you use Needle there, OpenAI's terms and privacy terms apply to the ChatGPT product, and our Privacy Policy describes how Needle handles data for those requests.

2.5. Eligibility and Age Requirement

Needle is a business-to-business tool for founders, marketers, and professionals. By creating an account or using the service you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), and that you are not a minor under the laws of the country from which you access the service. In particular, the Digital Personal Data Protection Act, 2023 (India) requires verifiable parental consent for children under 18, and we do not offer the service to minors. If you are a parent or guardian who believes a minor has provided us personal data, contact us at support@useneedle.net and we will delete it.

3. User Responsibilities

As a user of our service, you agree to:

• Provide accurate and complete information
• Use the service in compliance with all applicable laws
• Not use the service for any illegal or unauthorized purpose
• Not attempt to access private or protected content
• Not use the service to harass, stalk, or harm others
• Not use the service for any form of discrimination or bias
• Verify any information before relying on it
• Use the service responsibly and ethically

4. Data Usage and Privacy

Needle is built to work with publicly available material from supported platforms. Certain sensitive parameters you provide (such as search keywords and platform selections) are protected in transit and at rest using industry-standard safeguards described in our Privacy Policy. So that you can use history, exports, and collaboration features, we retain public post material that appears in your results only as long as needed for those features and only for the retention windows explained there. We do not:

• Bypass a third party's access controls or collect information you are not authorized to view on that platform
• Sell or rent your personal information to unrelated data brokers (see our Privacy Policy for how we use processors and integrations)
• Use your account data for purposes unrelated to operating and improving Needle without the consent or lawful basis described in our Privacy Policy

5. Service Limitations

Our service has the following limitations:

• Only analyzes publicly available data
• May not capture all relevant information
• Results may not be complete or accurate
• Subject to API rate limits and availability
• May not reflect real-time changes
• Analysis is based on available data only

6. Intellectual Property

The Needle name, branding, software, documentation, and other materials we provide as part of the subscription service are protected by copyright, trademark, and other intellectual property laws. Third-party trademarks and public content shown in results remain the property of their respective owners. You may not:

• Copy, mirror, or modify the Needle product except as allowed by law or your subscription
• Resell, sublicense, scrape, or repackage Needle as a competing online service without our prior written agreement
• Reverse engineer or attempt to extract source code except where applicable law expressly permits you to do so
• Remove or obscure copyright, trademark, or proprietary notices we display

7. Disclaimer of Warranties

Our service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We specifically disclaim:

• Any warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results
• Completeness of analysis
• Continuous or error-free operation

8. Limitation of Liability

To the maximum extent permitted by law, Needle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits
• Loss of data
• Business interruption
• Personal injury
• Property damage
• Any other damages arising from your use of our service

9. Indemnification

You agree to indemnify, defend, and hold harmless Needle and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use of the service
• Your violation of these terms
• Your violation of any rights of another person
• Your violation of any applicable laws

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the new terms on this page and updating the "Last updated" date. Your continued use of our service after such changes constitutes your acceptance of the new terms.

7-day free trial on all plans (one trial per account). A payment method is required at checkout. If you do not cancel before the trial ends, your selected plan renews and your payment method is charged according to the billing cycle you chose. Promotional codes, when offered, generally apply to your first paid invoice after the trial.
